1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of CleanCal, including the CleanCal website, dashboard, messaging workflows, calendar tools, billing flows, and related services (the "Service"). By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms.
If you use the Service on behalf of a company, property owner, property manager, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Account Security
You must be at least 18 years old and legally capable of entering into binding agreements to use CleanCal. You are responsible for providing accurate account information, maintaining the confidentiality of your login credentials, and all activity that occurs under your account.
You must notify us promptly if you believe your account has been accessed without authorization.
3. What CleanCal Does
CleanCal is a software platform for coordinating cleaning operations. The Service helps users manage properties, cleaners, cleaning tasks, calendar feeds, task notes, proof photos, owner notifications, cleaner notifications, and related operational workflows.
CleanCal is not a cleaning company, staffing agency, employer, payroll provider, tax advisor, legal advisor, insurance provider, or property manager. CleanCal does not hire, supervise, control, or guarantee the work of cleaners or other service providers. Users are solely responsible for their relationships with cleaners, property owners, guests, employees, contractors, and other third parties.
4. User Responsibilities
You are responsible for:
- Using the Service only for lawful purposes
- Maintaining accurate property, cleaner, calendar, and billing information
- Obtaining any permissions required to add cleaners, account admins, property data, photos, notes, contact information, calendar links, or messaging identifiers to CleanCal
- Complying with employment, contractor, wage, tax, privacy, safety, housing, short-term rental, and other laws that apply to your operations
- Reviewing schedules, assignments, notifications, and task status for accuracy
- Keeping account access limited to authorized users
5. Prohibited Uses
You may not:
- Use the Service for illegal, abusive, deceptive, or harmful purposes
- Upload malicious code or attempt to disrupt, overload, or compromise the Service
- Reverse engineer, copy, scrape, or resell the Service except as expressly allowed by law
- Interfere with another user's account or data
- Use the Service to send spam, harassment, or unauthorized communications
- Misrepresent your identity, authority, business, properties, or cleaners
6. Subscriptions, Free Trials, and Billing
CleanCal offers paid subscription plans. Plan features, limits, and prices are shown in the Service and may change from time to time. Prices are listed in U.S. dollars unless stated otherwise.
New users may be offered an automatic 14-day free trial when choosing a paid plan. A valid payment method may be required to start the trial. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and your payment method will be charged according to the selected plan.
Billing is processed by third-party payment processors such as Stripe. By purchasing a subscription or starting a trial, you authorize CleanCal and its payment processors to charge your payment method for subscription fees, renewals, applicable taxes, and other amounts owed.
Except where required by law or expressly stated by CleanCal, payments are non-refundable. If a payment fails, CleanCal may continue to provide access for a limited period while payment is retried, may request updated payment information, and may suspend or terminate access if payment remains unresolved.
You may cancel your subscription as made available in the Service. Cancellation generally takes effect at the end of the current billing period unless otherwise stated in the Service or required by law.
7. Third-Party Services and Integrations
CleanCal may integrate with or rely on third-party services, including calendar providers, messaging platforms such as Telegram and WhatsApp, authentication providers such as Google, payment processors such as Stripe, email providers, hosting providers, and file storage providers.
Third-party services are governed by their own terms and policies. CleanCal is not responsible for third-party services, their availability, their security practices, their content, or changes to their APIs or features. If a third-party integration is unavailable or changes, some CleanCal features may not work as expected.
8. User Content and Data
You retain ownership of the data and content you submit to CleanCal, including property information, calendar links, cleaner information, task notes, task completion records, and proof photos ("User Content").
You grant CleanCal a limited, worldwide, non-exclusive license to host, process, transmit, display, and use User Content as necessary to provide, secure, maintain, support, and improve the Service.
You represent that you have the rights and permissions needed to submit User Content to CleanCal and to allow CleanCal to process it as described in these Terms and our Privacy Policy.
9. Service Availability and Changes
We work to keep CleanCal reliable, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times. We may update, modify, suspend, or discontinue features at any time, including for maintenance, security, legal, operational, or business reasons.
10. Intellectual Property
CleanCal, including its software, design, workflows, branding, text, graphics, and other materials, is owned by CleanCal or its licensors and is protected by intellectual property laws. These Terms do not grant you ownership of the Service or any CleanCal intellectual property.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business operations.
11. Feedback
If you provide feedback, ideas, suggestions, or requests, you allow CleanCal to use them without restriction or compensation to you.
12. Suspension and Termination
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay amounts owed, create risk for CleanCal or other users, or use the Service in a way that may be unlawful, harmful, or abusive.
You may stop using the Service at any time. Some account data may remain in backups or records for a limited period as described in our Privacy Policy.
13. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, CleanCal disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.
CleanCal does not guarantee cleaner performance, task completion, message delivery, calendar accuracy, payment collection for cleaners, regulatory compliance, or business outcomes.
14. Limitation of Liability
To the maximum extent permitted by law, CleanCal will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, property damage, disputes between users and cleaners, or failures of third-party services.
To the maximum extent permitted by law, CleanCal's total liability for any claim relating to the Service will not exceed the amounts paid by you to CleanCal during the three months before the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless CleanCal from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your User Content, your violation of these Terms, your violation of law, or your relationships or disputes with cleaners, property owners, guests, employees, contractors, account admins, or other third parties.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, unless applicable law requires otherwise. Any dispute will be resolved in the state or federal courts located in Delaware, unless applicable law requires another forum.
17. Changes to These Terms
We may update these Terms from time to time. If changes are material, we may provide notice through the Service, by email, or by other reasonable means. Continued use of the Service after updated Terms become effective means you accept the updated Terms.
